Terms of Service

Last updated: 16 October 2026

1. Agreement

These Terms of Service ("Terms") are an agreement between [PROLINKS legal entity name] (ABN [to be confirmed]) ("PROLINKS", "we", "us") and the organisation that subscribes to PROLINKS ("Customer"), and govern each person the Customer authorises to use it ("User"). By creating an account or using the platform you agree to these Terms on behalf of the Customer and confirm you have authority to do so.

PROLINKS is a business service. It is not intended for personal, family or household use. If a separate signed order form or master agreement exists between PROLINKS and the Customer, that agreement prevails over these Terms where they conflict.

2. The service

PROLINKS lets Customers create, transform, brand, share, sign and track interactive documents, including with the help of AI features. We may improve, change or retire features from time to time; we will give reasonable notice of changes that materially reduce core functionality.

The platform is currently offered as a beta. Beta features are provided "as is", may change without notice and may be less reliable than generally available features.

3. Accounts and security

  • Accounts are created by invitation from a Customer administrator. Users must give accurate information and keep their credentials confidential.
  • The Customer is responsible for its Users' activity and for managing their roles and access.
  • Tell us promptly at [legal contact email to be confirmed] if you suspect unauthorised access to an account.

4. Acceptable use

You must not, and must not allow anyone else to:

  • upload content that is unlawful, infringing, defamatory, deceptive or harmful, or that you do not have the right to use;
  • upload sensitive or special category personal data without a lawful basis and our prior written agreement;
  • use the platform to send spam or phishing, or to impersonate any person or organisation;
  • probe, scan or test the vulnerability of the platform, or circumvent security or usage limits, except under a written responsible-disclosure arrangement with us;
  • reverse engineer, resell or provide the platform to third parties except as the platform intends (for example, sharing documents with recipients);
  • use AI features to generate content that breaches the usage policies of our AI providers or applicable law.

5. Customer content and AI output

The Customer keeps all rights in the content it uploads and in the documents it creates ("Customer Content"). The Customer grants PROLINKS a limited licence to host, process, transmit and display Customer Content only as needed to provide and secure the service.

AI-generated output may be inaccurate, incomplete or similar to output generated for others. The Customer is responsible for reviewing output before relying on or publishing it, particularly for legal, financial, insurance or other professional content. PROLINKS does not use Customer Content to train general-purpose AI models.

Where we process personal information within Customer Content we do so as the Customer's processor under our Data Processing Agreement, which forms part of these Terms. Our Privacy Policy describes our own handling of personal information.

6. Our intellectual property

PROLINKS and its licensors own the platform, templates, components, software and trademarks. Subject to these Terms, we grant the Customer a non-exclusive, non-transferable right for its Users to use the platform during the subscription. Feedback you give us may be used without obligation.

7. Fees

Fees, seat limits and payment terms are set out in the Customer's order form or plan. Unless stated otherwise, fees are in Australian dollars and exclusive of GST and other taxes. [Commercial terms to be confirmed.]

8. Third-party services

Some features rely on third-party services (for example electronic signature, AI models and email delivery). Use of a third-party integration may also be subject to that provider's terms. We are not responsible for third-party services we do not control, but we choose providers carefully and list our sub-processors in our Privacy Policy.

9. Warranties and liability

We will provide the service with reasonable care and skill. Except as expressly stated, and to the extent permitted by law, the service is provided without other warranties, express or implied.

Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law or any other law that cannot lawfully be excluded or limited.

To the extent permitted by law, neither party is liable for indirect or consequential loss, or loss of profits, revenue or data, and each party's total liability under these Terms in any 12-month period is limited to the fees paid or payable by the Customer in that period. [Liability caps and carve-outs to be confirmed by counsel.]

10. Suspension and termination

We may suspend access if needed to prevent harm to the platform or others, or for a material breach of these Terms, and will tell you why when we can. Either party may terminate for the other's material breach not remedied within 30 days of notice. On termination the Customer may export its content for 30 days, after which we delete it in line with our Privacy Policy, except where law requires us to keep it.

11. General

  • These Terms are governed by the laws of New South Wales, Australia [to be confirmed], and the parties submit to the courts of that place. Mandatory consumer or data protection laws of the Customer's country continue to apply.
  • We may update these Terms by posting a new version; material changes take effect 30 days after we notify account administrators, unless they are required sooner by law.
  • If any provision is unenforceable, the rest of these Terms remains in effect. A failure to enforce a right is not a waiver.
  • Questions about these Terms: [legal contact email to be confirmed].
